Iain is a highly experienced litigator with almost 40 years’ experience, advising on a wide variety of corporate, commercial and financial disputes, often with a focus on shareholder and director issues that occur in the course of ongoing commercial relationships and/or joint ventures.

Working predominantly with clients across the investment, real estate and technology sectors, Iain is highly experienced in pursuing and defending parties with a view to reaching resolutions.

Expertise

Iain advises on high-value, cross-border disputes, often in the financial services sector. He has particular experience in the Business and Property Courts of England & Wales and in LCIA and other arbitrations.

Experience

  • Represented hedge fund investors in claims including real estate investments, alleging breach of fiduciary duties and investment agreements across numerous jurisdictions under an LCIA arbitration, coordinating with a US law firm in a parallel AAA arbitration.
  • Defended and pursued US and UK suppliers and customers in IT and outsourcing disputes.
  • Represented claimants in court action seeking a declaration that £168m of premium was not due to noteholders under the securitisation of a real estate portfolio.

Iain advises on and represents parties in resolving commercial disputes through mediation, in shareholder, joint venture, and financial matters, ahead of or with or without resorting to litigation.

Experience

  • Representing clients in a pre-proceedings mediation about corporate sale warranty claims which was adjourned for two months until a further mediation day at which the claims were resolved and settled.
  • Representing a client in without-prejudice negotiations about the termination of a commercial relationship and related legal proceedings followed by a one-day mediation and then several days of post-mediation discussions which did not result in a settlement.
  • Advising and representing clients in a mediation concerning a dispute between shareholders as to management of a joint venture company.

Iain advises on breakdowns in joint ventures, family businesses, and minority shareholder relationships, focusing on control, governance, and exit disputes.

Experience

  • Defended claims of alleged breach of fiduciary duties and conflicts of interest by directors of a medical sales company.
  • Asserting alleged breaches of fiduciary duties and duties to promote the success of the company and act in its best interests.
  • Asserting breach of duties of good faith by directors/shareholders.

Iain advises on making and responding to claims of default under corporate and commercial agreements.

Experience

  • Asserted breach of contract in relation to a long-term relational commercial contract.
  • Served notices as to breaches of contract requiring their remediation in the context of a long-term technology agreement.
  • Demanded payment and alleged breaches in failing to provide information as to the company’s business under loan agreements failing which the agreements to terminate.

Iain advises on fraud claims and asset recovery, including defending directors accused of misrepresentation.

Experience

  • Disputed allegations of misrepresentation in relation to statements made and accounting information provided in the context of a takeover bid.
  • Defended claims of breach of fiduciary duties in the context of a private company.
  • Obtained injunctions to freeze assets improperly obtained by sales staff in breach of duties owed to a company.

Iain represents directors in high-value claims involving alleged misrepresentation and regulatory investigations.

Experience

  • Defended a director facing substantial claims alleging fraudulent misrepresentation in the context of takeover bid and financial accounting statements.
  • Represented a director and co-ordinated with other directors in responding to investigations by The Insolvency Service and related regulatory enquiries in the care sector.
  • Obtained an interim and then permanent injunction preventing a defendant company’s directors from making threats of violence against the claimant’s director and family.

Iain advises shareholders and ex-shareholders on warranty and indemnity claims.

Experience

  • Defended ex-shareholders of a company which they had sold on the basis of giving warranties and indemnities in respect of claims under the same which were settled and then reformulated but then successfully and finally settled.
  • Defended corporate shareholders alleged to have breached warranties given on sale of a subsidiary.
  • Drafted notices of breach of warranty under a sale and purchase agreement.

Iain advises clients on claims arising from the misuse of confidential information.

Experience

  • Defended and pursued claims for misuse of confidential information in the context of financial services.
  • Advised on handling confidential information so as to seek to limit potential claims as to misuse including engaging in correspondence with solicitors retained by potential claimants.

Iain advises on claims arising from failed projects and professional negligence, particularly around contract termination and adviser conduct in corporate transactions.

Experience

  • Termination of project and joint venture contracts and disputes over improper termination and/or performance.
  • Pursued claims for payment of a success fee concerning services provided in relation to obtaining grants.
  • Advised a lender on defaults under facility agreements and related claims against the borrower’s director.
  • Defended claims by third parties against a company acting as agent for an importer of equipment for a project; advised on failure to communicate or provide accurate information.
  • Claim against solicitors’ firm arising out of allegedly inadequate advice and drafting of loan agreements and related security documents.
  • Dispute as to solicitor firm’s fees and invoices.
  • Claims as to allegedly negligent conduct of litigation and dispute resolution.
  • Claims against accountancy firm in relation to advice on tax-related matters.
