Keystone Law’s Corporate team has advised the UK Master Franchisee of chicken restaurant Wingstop in its bid to take on the UK market.

Wingstop, an established US fast-food chain with over 1,200 locations worldwide and which advocates chicken wings as a centre of the dish plate, is opening its flagship restaurant in London’s Shaftesbury Avenue with a view to rolling out the launch of a further 100 sites over the next 12 years.

Led by Joseph Miller, Keystone acted for the UK master franchisee, Lemon Pepper Holdings Ltd, on the corporate financing by way of bond and equity finance, handling a range of corporate matters including the investment agreement, articles, employment documentation, bond and security documents, and group restructuring.

Tom Grogan, Director of Lemon Pepper Holdings, commented:

“With a pressing time frame and a number of deal challenges, Keystone were instrumental in aiding in the successful closure of our corporate financing transaction which has enabled Lemon Pepper Holdings to proceed with our launch at pace. We look forward to continuing our relationship with Joseph and the team at Keystone.”

Sangita Sangar of Avighna advised on the property aspects of the deal, with the lease of the West End restaurant being completed simultaneously with the investment.

Joseph added:

“It is always a pleasure to advise a client on a successful fundraising and to be part of the growth of a new venture. However, it was a special honour to work with such a dedicated and professional team of founders helping to introduce a new brand to the UK fast-food market. We look forward to seeing the roll-out of Wingstop UK.”
